These Terms of Use (“Terms”) govern access to TriedSM, a school management and student learning platform operated by Tried Smart Solutions (“TriedSM”, “we”, “us” or “our”).
1. Agreement to these Terms
By accessing or using TriedSM, you agree to these Terms and acknowledge our Privacy Policy. If you use TriedSM for a school or another organisation, you confirm that you are authorised to act for it. If you do not agree, do not use the platform.
A separate written subscription, implementation, data-processing or service agreement with a school takes priority over these Terms where the documents conflict.
2. Who may use TriedSM
School staff and administrators may use TriedSM only with authority from their school. Students may use an account issued or authorised by their school and, where required, with the involvement or permission of a parent or guardian. You must provide accurate information and meet any legal age or authority requirements that apply to your use.
3. Accounts and access
- Keep passwords, one-time codes and other credentials confidential and do not share accounts.
- Use only the account and school records you are authorised to access.
- Keep account information current and notify the school or TriedSM promptly of suspected unauthorised access.
- You are responsible for activity performed through your account except to the extent caused by our breach of these Terms or applicable law.
- Schools are responsible for assigning, reviewing and removing their users’ roles and permissions.
4. Permitted use
We grant authorised users a limited, non-exclusive, non-transferable and revocable right to use TriedSM for legitimate school administration, teaching, learning, communication and related purposes during the applicable subscription or authorised access period.
5. Acceptable use
You must not:
- Access, alter or disclose records without permission, or attempt to bypass roles, security or usage limits.
- Use TriedSM for unlawful, fraudulent, abusive, discriminatory or harmful activity.
- Upload malware, disrupt the service, probe for vulnerabilities or interfere with another user’s access.
- Copy, scrape, reverse engineer, resell or commercially exploit the platform except where expressly permitted in writing or by law.
- Upload content that infringes privacy, confidentiality, intellectual-property or other rights.
- Use automated tools in a way that creates excessive load or compromises platform integrity.
- Misrepresent your identity, role, school or authority.
6. School data and responsibilities
As between the school and TriedSM, the school retains its rights in information it submits to the platform. The school authorises us to host, process, back up, transmit and display that information as needed to provide and secure TriedSM.
The school is responsible for the accuracy and lawfulness of its data, providing required notices, obtaining required consent or other authority, responding to its users and data subjects, and configuring access appropriately. This includes responsibilities relating to student and child information.
7. Privacy and confidentiality
Our Privacy Policy explains how we handle personal information. Users must treat school records as confidential and may use or disclose them only as authorised by the school and applicable law.
8. Subscription, fees and payment
Paid plans, included features, user or usage limits, taxes, billing dates, renewal and payment terms are set out in the applicable order, invoice or school agreement. Unless that agreement says otherwise, fees already due are non-refundable to the extent permitted by law. We may restrict paid features after reasonable notice when undisputed fees remain overdue.
9. Platform changes and availability
We may maintain, improve, add, replace or discontinue features. We aim to provide a dependable service but do not promise uninterrupted or error-free availability. Access may be affected by maintenance, connectivity, device limitations, third-party systems, security incidents or events beyond reasonable control. We will use reasonable efforts to communicate material planned interruptions.
10. Third-party services
TriedSM may connect to services such as payment, messaging, video, identity or data providers. A school chooses whether to enable supported integrations. Third-party services are governed by their own terms, availability and privacy practices, and we are not responsible for their independent acts or omissions.
11. Intellectual property
TriedSM, its software, design, documentation, trademarks and related materials are owned by Tried Smart Solutions or its licensors. Except for the limited right to use the platform under these Terms, no ownership rights are transferred. Feedback may be used to improve TriedSM without restriction or payment, provided we do not publicly identify you without permission.
12. Suspension and termination
We may suspend or limit access where reasonably necessary to address a security risk, unlawful use, a serious breach of these Terms, unpaid fees or harm to the service or others. Where practical, we will give notice and an opportunity to remedy the issue.
When access ends, users must stop using the platform. School-data return, export and deletion are handled under the applicable school agreement, legal retention requirements and our Privacy Policy. Provisions that by their nature should continue—including confidentiality, intellectual property, accrued payment obligations and liability provisions—survive termination.
13. Disclaimers
TriedSM supports school workflows and decision-making but does not replace professional judgment, official verification or a school’s legal responsibilities. To the extent permitted by law, the platform is provided on an “as available” basis and implied warranties are excluded. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, goodwill or anticipated savings arising from use of TriedSM. Any agreed liability cap in a school agreement applies. Nothing in these Terms limits liability that cannot legally be limited, including liability arising from fraud or wilful misconduct.
15. Governing law and disputes
These Terms are governed by the laws of Uganda. Please contact us first so we can try to resolve a concern promptly. Unless a separate agreement provides another process, disputes that cannot be resolved informally are subject to the jurisdiction of the courts of Uganda.
16. Changes to these Terms
We may update these Terms to reflect platform, business or legal changes. We will publish the updated Terms and revise the effective date. For material changes, we will provide additional notice where reasonably possible. Continued use after the updated Terms take effect means you accept them, to the extent permitted by law.
